1. Agreement and service provider
By ordering, accessing or using a Codory service, you agree to these Terms of Service and any service-specific terms presented with the order. If you are acting for a company or other organisation, you confirm that you have authority to bind that organisation.
2. Scope of Codory services
These terms apply to Codory's current service categories, including:
- Development: Web Development, App Development, Business Automation, CRM & SaaS.
- Messaging: OTP Verification, Bulk SMS, Auto Messaging, IVR Solutions and WhatsApp Business API implementation.
- Products: Ecommerce, Blog and News websites, ERP, POS Billing, HRMS & Payroll and related software.
- Growth: SEO and Digital Marketing.
- Security and operations: DDoS Shield, Vulnerability Checker, Security Research and Web Server Management.
3. Orders, scope and changes
The agreed quotation, invoice, order description, written scope or project communication defines what is included. Features, integrations, migration work, revisions or deliverables outside that scope may require a revised timeline and additional charges. Work may be delivered in phases or milestones.
4. Customer responsibilities
You are responsible for providing accurate requirements, timely feedback, lawful content, required approvals, valid credentials and access needed to perform the work. You must maintain secure control of credentials supplied to you and notify Codory promptly if access is compromised.
You must not use Codory services to violate law, infringe third-party rights, distribute malware, conduct fraud, send unlawful or unsolicited communications, attack systems without authorisation, evade platform restrictions or interfere with other users or infrastructure.
5. Development and software delivery
Custom software and website projects are tested against the agreed scope and supported environments. Compatibility with an unlisted browser, device, plugin, third-party API or future version is not automatically included. Customer-requested third-party components remain subject to their own licenses and availability.
Ownership, source-code handover and licensing depend on the applicable order. Unless expressly transferred, pre-existing Codory tools, reusable libraries, frameworks, know-how and third-party components remain owned by their respective owners.
6. Messaging and communications services
You are responsible for obtaining required recipient consent and complying with telecom, anti-spam, template, sender, platform and other rules that apply to your messages. Codory may require information or changes needed for operator or platform compliance.
Message delivery is affected by telecom operators, platform policies, recipient settings, network conditions and filtering. Delivery time, acceptance by a platform, sender display and final delivery cannot be guaranteed in every case.
7. SEO and digital marketing
SEO and marketing services involve optimisation, content, campaign management, tracking and recommendations. Search engines and advertising platforms control their own algorithms, approvals and account decisions. Codory does not guarantee a particular ranking, number of leads, revenue level, ad approval or return on advertising spend.
8. Security, DDoS and vulnerability work
Security testing, research or scanning is performed only on systems you own or are authorised to have tested. You must not submit third-party systems for testing without permission. Security findings reflect the scope, tools, access and conditions available at the time of assessment.
DDoS Shield and other protective measures are risk-reduction services, not a promise that every attack will be blocked or that a website will always remain available. Mitigation may require DNS, proxy, firewall, application or origin-server changes.
9. Web server management
Managed work may include configuration, patching, monitoring, troubleshooting, backups or performance work as specified in the order. Unless expressly included, Codory is not responsible for applications, credentials, data or third-party software outside the agreed management scope. Customers should maintain appropriate independent backups for important data.
10. Accounts, access and security
You are responsible for activity carried out through your account and credentials. Codory may require identity, ownership or payment verification where reasonably necessary to protect an account, prevent fraud or comply with law.
11. Fees, taxes and payment
Fees are due as stated in the applicable order or invoice. Taxes, payment-provider charges and third-party costs may be additional where applicable. Failure to pay an amount when due may result in paused work, restricted access, suspension or termination after reasonable operational notice where appropriate.
12. Suspension and termination
Codory may suspend or terminate access where necessary for non-payment, security risk, abuse, unlawful activity, material breach, infrastructure protection or a binding legal requirement. Where circumstances allow, Codory may provide an opportunity to correct the issue before permanent termination.
13. Third-party services
Many projects depend on services operated by third parties, such as payment gateways, cloud providers, telecom operators, Meta/WhatsApp, domain registries, app stores, advertising platforms or external APIs. Their availability, rules, fees and decisions are outside Codory's control, and use of those services is also subject to their terms.
14. Confidentiality and customer data
Each party should use reasonable care to protect non-public business information received from the other. Codory may access customer systems or data only as reasonably necessary to deliver, support, secure or troubleshoot the agreed service, subject to the Privacy Policy and applicable law.
15. Warranties and service availability
Codory will use reasonable skill and care in providing professional services. Except where expressly stated in writing or required by law, services are provided on an "as available" basis and may be affected by maintenance, internet failures, software defects, attacks, third-party outages or circumstances outside reasonable control.
16. Limitation of liability
To the maximum extent permitted by law, Codory is not liable for indirect, special, incidental or consequential loss, including loss of profit, business opportunity or data, arising from use of a service. Any direct liability will be assessed in light of the affected service, fees paid for that service and applicable law. Nothing in these terms excludes liability that cannot lawfully be excluded.
17. Indemnity
You are responsible for claims arising from unlawful content, unauthorised testing, infringement, misuse of messaging services or other material breach caused by you or users under your control. This does not apply to the extent a claim results from Codory's own unlawful conduct or liability that cannot be excluded.
18. Governing law and disputes
These terms are governed by the laws of India. The parties should first attempt to resolve a dispute through written communication. Subject to mandatory legal rights and rules on jurisdiction, disputes may be brought before competent courts in Odisha, India.
19. Updates
Codory may update these terms to reflect service, legal or operational changes. Material changes apply from the date the revised terms are published, unless a different effective date is stated or a signed service agreement provides otherwise.
